I have a VS Ultra using proper cable
using serial to usb adapter.
was working on P$ until last week, expired.
new P$ and I loaded latest xx-client yesterday.
I can connect to server but I just get waiting for requests.
any help is greatly appreciated.

I had to revert back to XX-Client 1 as I could not get version 2 to work with my ultra. I still have to do more tests but for now I'll stick with what works. (Mine was communicating but would not get TV, "CW" where delayed greater then 11 seconds)
As for your problem it sounds like you Com port (USB) is misconfigured and the PC is not communicating with Ultra. or try reverting back to what worked last week.

UPDATE! I uninstalled com0com, must have been mixing up the port
recognition.
connected serial to usb cable, checked com port and changed to port 1.
confirmed in the xx-client ini file.
clicked on the xx-client exe and BINGO!!! I am up.

So Fuzzywuzzy, are you saying that with xx client 1 you can have a control word delay exceeding 11 seconds and no freezing?

When CW exceeded 11 Seconds I would NOT get TV (So yes I was freezing).

Yes, to clarify, I'm asking if you use xx ver 1 a CW exceeding 11 sec will be tolerated and not result in freezing? I am using ver 2 and get freezing if CW delay exceeds 11 sec but I could try ver 1 if you've confirmed that it operated better?

I could not get Ver 2 to work at all. Don't know when I'll try again. So I'm on Ver 1 for now as it's working. I get most of the freezing on channels below 300 (freeze every 5 to 10 minutes) but I tend to watch movies in the 300's and PPV which have very little freezing (Freeze every 1 to 3 hours).
